You make the final decisions — BizAlly is a tool to support your thinking, not a substitute for professional advice. BizAlly is a software product. It is not a coach, mentor, peer advisory group, facilitated roundtable, or membership advisory organization, and is not affiliated with or a substitute for any such organization.
BizAlly does not provide legal, financial, accounting, tax, medical, or therapy advice. For those matters, consult a licensed professional. Information on BizAlly is for general guidance only.
You agree not to:
All BizAlly intellectual property — including the platform, software, guidance content, prompts, frameworks, methodologies, designs, branding, and all related materials — is owned exclusively by BizAlly LLC, and all rights are reserved. You are granted a limited, non-exclusive, non-transferable, revocable license to use BizAlly for your own business purposes only; no other rights are granted. You may not copy, resell, sublicense, reverse-engineer, or create derivative works from any part of BizAlly. You may not use any BizAlly content, output, prompts, or guidance to train, fine-tune, evaluate, benchmark, or otherwise inform any machine learning model, large language model, AI system, or automated content-generation tool, whether commercial or non-commercial. Your own commitments and the personal content you enter remain yours; however, by using BizAlly you grant us a perpetual, irrevocable, worldwide, royalty-free license to use feedback, suggestions, and anonymized, aggregated data to operate and improve BizAlly.
BizAlly's matching logic, keyword taxonomies, scoring algorithms, prompt flows, and internal categorization systems constitute trade secrets of BizAlly LLC. You agree not to reverse-engineer, decompile, disassemble, or otherwise attempt to derive, infer, or replicate these systems. Violation of these intellectual property or acceptable use terms may result in immediate account termination without refund, and may subject you to civil action including injunctive relief and monetary damages. BizAlly LLC reserves all rights and remedies available at law or in equity.
BizAlly may embed visible and non-visible watermarks, tracking tokens, or unique identifiers in content displayed to individual users. These identifiers may be used to trace unauthorized reproduction back to the account of origin.
BizAlly is provided "as is" without warranties. We are not liable for any business decisions made based on the platform. Use BizAlly as one input among many — including your own judgment, advisors, and professional counsel.
BizAlly is currently provided without charge during early access. Paid subscription plans, when launched, will be priced as listed on the BizAlly website at the time of purchase.
We may introduce new pricing, modify existing prices, change plan features, or discontinue plans at our discretion. For any change to the recurring subscription fee on an active paid account, we will give you at least 30 days' advance notice by email to the address on your account and/or by in-app notification. The new price takes effect at the start of your next billing cycle following that notice period.
If you do not wish to accept a price change, you may cancel before the new price takes effect through your account settings or by emailing bizallylaunch@gmail.com. Cancellation ends your subscription at the close of your then-current billing period; no refunds will be issued for partial billing periods unless required by law. Any subscription period you have already prepaid will be honored at the price you paid for it.
Promotional pricing, discounts, founding-member offers, and other special offers may be time-limited and may apply only to specified terms; the conditions of each offer will be disclosed when the offer is made and will be honored as offered.
BizAlly may, in the future, offer optional SMS / text-message notifications for commitment reminders. If you opt in to SMS notifications, you consent to receive automated and recurring text messages from BizAlly at the mobile number you provide. Message and data rates may apply. You may opt out at any time by replying STOP to any BizAlly text message or by disabling SMS in your account settings. SMS notifications may be offered as part of a paid plan or as a separately priced add-on.
We may assign, transfer, or delegate this agreement and all of our rights and obligations under it, and we may transfer your account, your information, and all associated data, in whole or in part, to a successor or affiliate in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of our assets or equity, without notice to you and without your consent. This agreement binds and benefits the parties and their respective successors and permitted assigns. You may not assign or transfer your rights or obligations under this agreement without our prior written consent, and any attempt to do so is void.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or your use of BizAlly shall first be addressed through good-faith negotiation for 30 days. If unresolved, disputes shall be resolved by binding arbitration in Illinois, under the rules of the American Arbitration Association. The arbitration decision shall be final and enforceable. Notwithstanding this, BizAlly LLC retains the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or trade secrets.
You acknowledge that any breach of the intellectual property, trade secret, or acceptable use provisions of these Terms may cause BizAlly LLC irreparable harm for which monetary damages are inadequate, and you agree that BizAlly LLC shall be entitled to seek immediate injunctive relief in addition to any other remedies available.
These Terms apply to every user of BizAlly, including early-access and test users. By checking the agreement box and creating an account, or by otherwise accessing or using BizAlly, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy, and that you have the authority to enter into this agreement. If you do not agree, do not create an account or use BizAlly.
We may update these Terms from time to time. If we make material changes, we'll email you. Continued use of BizAlly after changes constitutes acceptance of the updated Terms.
